These Terms & Conditions (“Terms”) govern your access to and use of GiftCompany.in (“Website”) and the purchase of products and services offered through the Website.
GiftCompany.in is operated by Nizamis World (“Nizamis World”, “we”, “us” or “our”).
By accessing the Website, submitting an enquiry, requesting a quotation, placing an order, making payment, or using any of our products or services, you acknowledge that you have read, understood and agreed to these Terms.
If you do not agree with these Terms, please do not use the Website or place an order.
1. About Nizamis World
Nizamis World, through GiftCompany.in, provides corporate gifting, promotional merchandise, customized and branded products, employee gifting solutions, gift hampers, welcome kits, packaging, kitting, fulfilment and related products and services.
Products may be manufactured, sourced or fulfilled by Nizamis World or by third-party manufacturers, suppliers and service providers.
2. Eligibility
By using the Website or placing an order, you confirm that:
- You are legally capable of entering into a binding agreement under applicable law;
- All information provided by you is accurate and complete;
- Where you are acting on behalf of a company, organization or other entity, you have authority to do so; and
- You will use the Website and our services only for lawful purposes.
3. Product Information
We make reasonable efforts to ensure that product descriptions, photographs, specifications, dimensions, colours and other information displayed on the Website are accurate.
However, minor variations may occur due to manufacturing processes, materials, screen settings, printing, embroidery, engraving, embossing, supplier variations or other production processes.
Product images may be illustrative and may not always represent the exact final product.
4. Product Availability
All products are subject to availability.
Product availability may change without notice due to supplier availability, discontinuation, stock limitations, manufacturing constraints or other circumstances.
Nizamis World reserves the right to offer an alternative product or decline an order where a product cannot reasonably be supplied.
5. Quotations
Quotations issued by Nizamis World are subject to the validity period stated in the quotation and are subject to availability.
Unless expressly stated otherwise, a quotation does not constitute acceptance of an order.
Prices may change due to changes in supplier costs, raw materials, customization, freight, taxes, currency fluctuations or other applicable costs.
6. Order Confirmation
An order shall be considered confirmed only after acceptance by Nizamis World and receipt of the required payment, purchase order or other agreed confirmation.
Nizamis World reserves the right to decline an order before acceptance where a product is unavailable, incorrectly priced, discontinued, or cannot reasonably be supplied.
7. Pricing and Taxes
Prices shall be as stated in the applicable quotation, invoice or order confirmation.
GST and other applicable taxes, freight, delivery, customization, packaging, kitting or other charges may be additional unless expressly stated as included.
The customer is responsible for providing accurate billing and tax information.
8. Payment
Payment terms shall be specified in the applicable quotation, invoice or order confirmation.
Depending on the nature of the order, Nizamis World may require full or partial advance payment.
Approved credit terms, if any, shall apply only where expressly confirmed in writing.
Nizamis World may suspend production or dispatch where payment is overdue.
9. Customized and Branded Products
Products may be customized through printing, embroidery, engraving, embossing, laser marking, UV printing, digital printing, personalization, packaging or other processes.
The customer is responsible for verifying all:
- Logos;
- Artwork;
- Text;
- Spelling;
- Colours;
- Quantities;
- Sizes;
- Dimensions;
- Product specifications;
- Personalization details; and
- Delivery information
before confirming the order.
Once artwork or specifications have been approved and/or production has commenced, changes may not be possible.
10. Artwork Approval
Where a digital proof, mock-up, sample or artwork is provided, the customer must carefully review and approve it before production.
Approval by email, WhatsApp, purchase order, written communication or any other agreed method shall constitute authorization to proceed.
The customer shall be responsible for errors contained in artwork or specifications supplied or approved by the customer.
11. No Cancellation, Modification or Refund
Except where required by applicable law or expressly agreed otherwise in writing by Nizamis World:
All confirmed orders are final and cannot be cancelled, modified, exchanged or refunded.
This applies to standard products, customized products, branded products, personalized products, bulk orders, made-to-order products and products specially procured for a customer.
Customers should carefully verify all order details before confirming an order and making payment.
12. Customer-Supplied Materials and Intellectual Property
The customer represents and warrants that it has the necessary rights, licences and permissions to use any logo, trademark, artwork, photograph, design, text or other material supplied to Nizamis World.
The customer shall be responsible for any claim arising from unauthorized use or infringement of third-party intellectual property.
The customer authorizes Nizamis World and its relevant production partners to use customer-supplied materials solely for fulfilling the relevant order.
13. Corporate and Bulk Orders
Corporate and bulk orders may be subject to:
- Minimum order quantities;
- Production lead times;
- Supplier availability;
- Batch production;
- Partial shipments;
- Multiple delivery locations;
- Separate packaging or kitting requirements; and
- Additional freight or fulfilment charges.
Where an order is to be delivered to multiple locations, delivery may take place in separate consignments.
14. Delivery
Delivery timelines communicated by Nizamis World are estimates unless expressly guaranteed in writing.
Delivery may be affected by production schedules, supplier availability, courier services, transportation, customs, public holidays, weather, government restrictions, force majeure events or other circumstances beyond our reasonable control.
A delay does not automatically constitute a breach of contract or create a right to cancellation or refund.
15. Delivery Address
The customer is responsible for providing a complete and accurate delivery address and contact information.
Nizamis World shall not be responsible for delays, failed deliveries, return shipments or additional costs caused by incorrect or incomplete information supplied by the customer.
16. Inspection of Goods
Customers should inspect products promptly upon delivery.
Any claim relating to visible damage, shortage, incorrect products or material discrepancies should preferably be reported within 48 hours of delivery, together with photographs, videos, packaging details and order information.
This requirement does not restrict any rights that cannot legally be restricted under applicable law.
17. Defective or Incorrect Products
Where a product is established to be defective, materially damaged, or incorrectly supplied due to an error attributable to Nizamis World, we may, subject to verification and applicable law, provide an appropriate remedy.
Such remedy may include replacement, rectification, credit or another lawful resolution.
Minor variations inherent in manufacturing or customization processes shall not automatically constitute a defect.
18. Third-Party Service Providers
Nizamis World may use third-party manufacturers, suppliers, logistics providers, payment processors, technology providers and other service providers.
We will take reasonable steps to manage such relationships but shall not be responsible for circumstances solely attributable to third parties beyond our reasonable control.
19. Website Content
All content on the Website, including text, photographs, graphics, logos, designs, layout and other materials owned by Nizamis World is protected by applicable intellectual property laws.
No Website content may be reproduced, copied, modified, distributed or commercially exploited without prior written permission.
20. Prohibited Use
You must not:
- Use the Website for unlawful purposes;
- Attempt unauthorized access;
- Introduce malicious code;
- Interfere with Website functionality;
- Copy or misuse Website content;
- Impersonate another person or entity; or
- Use the Website in a manner that may harm Nizamis World or third parties.
21. Privacy
The collection and processing of personal information is governed by our Privacy Policy, which forms part of these Terms.
22. Limitation of Liability
To the maximum extent permitted by applicable law, Nizamis World shall not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the Website or services.
Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited.
23. Force Majeure
Nizamis World shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemic, pandemic, war, civil disturbance, strikes, transportation disruption, government action, supply-chain disruption, power failure, telecommunications failure or similar events.
24. Amendments
Nizamis World may update these Terms from time to time.
The updated version will be published on the Website with the applicable revision date.
25. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
26. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts in Mumbai, Maharashtra, India.
